Please read these Terms of Service carefully. By accessing neonasphera.com, the NeonaSphera website, the NeonaSphera application, or any related services (together, the "Service"), you agree to these terms.

NeonaSphera provides an AI workforce for e-commerce operations: domain agents with shared workspace memory that operate on your connected operational data across accounting, supply, marketing, intelligence, forecasting, financial planning, and customer success. NeonaSphera works alongside NeonPanel, our data and accounting engine.

Accounts and Eligibility

You must have authority to accept these terms for yourself or the entity you represent.

To use the Service, you must be at least 18 or the age of majority in your region, provide accurate account information, keep payment methods current when required, and protect your login credentials.

Account Ownership and Security

The account owner is responsible for activity on the account and must keep account and payment details private.

Notify us promptly if you suspect unauthorized use. We may suspend, terminate, or place a hold on accounts to protect users or NeonaSphera.

Pricing, Billing, Cancellation, and Refunds

Prices are posted on our website and may change. NeonaSphera may bill one-time, monthly, annual, or on another subscription basis, and may meter usage such as agent activity, connected data sources, or model consumption.

You authorize us to charge your selected payment method until you cancel. You can cancel anytime and usually keep access through the end of the current billing period unless stated otherwise.

Payments are generally non-refundable, except where a stated money-back guarantee or applicable law requires otherwise.

Acceptable Use

You agree to use the Service lawfully and not to misuse it. You will not attempt to reverse engineer, disrupt, or gain unauthorized access to the Service; upload unlawful, infringing, or malicious content; or use the Service to violate the rights of others or the terms of any connected platform (for example, marketplace, accounting, or advertising providers).

You are responsible for the instructions you give agents and for reviewing their outputs before acting on them.

AI Outputs and No Professional Advice

NeonaSphera uses AI agents and large language models to analyze data, produce reports, and recommend actions. Outputs may be incomplete or inaccurate and can vary between runs.

The Service does not provide accounting, tax, legal, financial, or other professional advice. You are responsible for reviewing recommendations and verifying any action before it is taken. Final actions that affect your business require your approval.

Service Disclaimers

The website and Service are provided "as is" to the fullest extent allowed by law.

NeonaSphera does not warrant uninterrupted or error-free service, absence of harmful components, or that information is always accurate, complete, reliable, current, or error-free.

We do not guarantee specific business results, revenue, ranking, sales, or outcomes.

Limitation of Liability

Except to the minimum extent required by law, NeonaSphera and its employees, officers, directors, affiliates, and agents are not liable for incidental, direct, indirect, punitive, consequential, special, exemplary, or similar damages arising from use of the Service.

Our total liability for claims about the Service in any month will not exceed what you paid us in the prior month.

Indemnification and Third-Party Resources

You agree to defend and indemnify NeonaSphera against claims, losses, liabilities, and expenses arising from your use of the Service or breach of these terms.

The Service may rely on or link to third-party resources, integrations, and model providers for convenience. NeonaSphera is not responsible for their availability, accuracy, policies, or content.

Data, Privacy, and Security

We take privacy and security seriously and use reasonable technical and organizational measures to protect data.

We do not use your data to train shared or foundation models, and we do not blend your data into outputs for other customers. By default, your data is stored on AWS; you may use Bring Your Own Storage (BYOS) and Bring Your Own Keys (BYOK) for additional control, and your domain packs, logs, and configurations are exportable.

Internet transmission carries risk. Use and disclosure of information is governed by our Privacy Policy, which is part of these terms.

Customer Data and Intellectual Property

You retain rights in the customer data you submit and in the skills and domain packs you create. You grant NeonaSphera the rights needed to provide the Service and to operate it as these terms and our Privacy Policy allow.

NeonaSphera's website, Service, content, trademarks, logos, software, and other intellectual property are owned by NeonaSphera and protected by law.

Compliance, International Use, and Force Majeure

You are responsible for complying with applicable laws when using NeonaSphera.

The Service is operated from the United States; data may be transferred to and processed in the United States.

NeonaSphera is not liable for delays or failures arising from events beyond reasonable control.

Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Delaware.

Disputes will be resolved through binding arbitration in Wilmington, Delaware, under applicable expedited commercial rules, except where equitable relief is appropriate.

Claims proceed individually unless all parties agree otherwise in writing.

Notices to you are effective when sent to the last email or physical address you provided or posted on our website.

These terms, our Privacy Policy, and any additional terms you accept form the entire agreement on the Service.

They supersede prior agreements, representations, and understandings.
